These Terms and Conditions of Service govern your access to and use of generex.pro (the "Site") operated by Generex Consulting ("Generex," "we," "us," or "our"). By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site. These Terms apply to your use of the Site only. They do not govern the delivery of consulting services; Consulting services are delivered exclusively under a separate written engagement agreement, scope of work, or purchase order signed by both parties. |
| About Generex Consulting |
Generex Consulting is an independent technical consulting practice in the power generation sector providing services related to high-voltage field power studies, recovery planning, Excitation System Support, and engineering consulting. The practice serves nuclear, hydroelectric, geothermal, coal and steam, gas and combined-cycle, and industrial cogeneration installations. Services are delivered personally by Charles J. Wolfe. |
| Eligibility and Intended Audience |
The Site is intended for adults working in or seeking services for the power generation industry — facility owners, operators, engineering staff, project managers, procurement teams, and others professionally active in the field. By accessing the Site, you confirm that you are at least eighteen years of age and have the legal capacity to enter into contracts. The Site is not intended as a source of advice for you and we do not provide legal advice to operators. |
| Permitted Use of the Site |

| Intellectual Property |
All content on the Site — including but not limited to articles, technical write-ups in the Knowledge Base, case studies, photographs, video on the field video footage, the Global Footprint map and its underlying data, the Generex name and logo, corporate identity, biographical information, all derived from the OE GENEREX or Generex Consulting banner, the front-meeting bench framework (aggregation, code, and overall design) — is the property of Generex Consulting. All content is fully protected by copyright, trademark, and other intellectual property laws. You may link to any public page on the Site, reference content in factual discussions, and share brief excerpts for personal and legitimate business education purposes. You may share individual links to public Site pages. You may not:
Limited portions of articles for editorial commentary, journalism, or academic purposes with proper attribution are permitted under applicable fair use principles. |
| Knowledge Base and Editorial Content |
Articles in the Knowledge Base, case study summaries, technical descriptions, and similar editorial content are provided solely for informational and educational purposes — to help facility owners and procurement specialists understand the profession at the level of explanation. They are not engineering recommendations for any specific machine, facility, or situation, and they do not establish a consulting relationship. Generators, exciters, and the systems they operate within are complex, regulated, and potentially hazardous. Decisions about equipment repair, modification, parts qualification, operational limits, or returns to service must be made by qualified personnel with full knowledge of the specific equipment and conditions governing it; ideally by a registered professional engineer with relevant certifications. Generex is pleased to serve as an independent engineering consultant's OEM guidance where applicable, or to the judgement of licensed professional responsible for the equipment in question. |
| Case Studies, Field Documentation, and Customer's Voice |
Case studies and field documentation published on the Site describe engagements conducted by Charles. When used in writing, the professional is usually named; however, other related details (facilities, personnel names and identifiers) are anonymized or generalized. Photos of specific locations, equipment nameplates, instrumentation, and similar materials are used with proper consent or from Charles's personal experience and records. These materials should not be a guarantee of equivalent results in any other engagement; every generator and every facility, and every situation is different. |
| No Engagement Created by Site Use |
Browsing the Site, reading the Knowledge Base, submitting a contact form, requesting a technical review, or exchanging preliminary introductory emails or texts with Charles creates no engagement, no engineering relationship, a professional-client relationship, or any commitment of any form. Any engagement for consulting services requires a signed engagement agreement where both parties have agreed on the engagement agreement, scope of work, or equivalent document, and the agreed-upon base fees reflected. |
| Information You Submit |
When you submit information through the Site — including contact form fields, technical documents, schematics, photographs, other correspondence and related specifications — to discuss a potential engagement with us, we have the right to review this information with us and that doing so does not violate any confidentiality obligation, security restriction, NDA, or other obligation that may bind you individually. You grant us the right to use the information you submit for the purposes of evaluating your inquiry and if it is from engagement scope for the purposes of delivering that services. We treat all submitted information seriously as confidential as described in our Privacy Policy. |
| Third-Party Content, Links, and Embeds |
The Site may link to or embed external content hosted by third parties — for instance, the Generex YouTube channel for the Power field YouTube videos, mapping services on the Global Footprint page, or embedded media for presentations. We do not control third-party providers and are not responsible for their content, users, privacy practices, or reliability. Your use of third-party services is governed by the terms of those services. |
| Disclaimer of Warranties |
The Site and all content are provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, Generex disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the Site will be secure, uninterrupted, or error-free at all times. We do not warrant that the Site will be available at any particular time, that defects will be corrected, that the Site is free of viruses or other harmful components, or that any content posted in the Site is correct, accurate, or otherwise reliable. OEM citations, regulatory requirements, and best practices in the power generation sector evolve and fluctuate. |
| Limitation of Liability |
To the maximum extent permitted by applicable law, in no event will Generex Consulting, Charles J. Wolfe, or any of our affiliates, contractors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: loss of profits, loss of data, loss of equipment, damage, business interruption, replacement power costs, regulatory fines, or loss of data — arising from the use of the Site or use of the Site or reliance on any information obtained on or through the Site, even if we have been advised of such damages. These restrictions are not intended by applicable law. Our total aggregate liability arising out of or related to the Site reaches and upon from any liability arising under a signed engagement agreement, which is governed by the terms of that agreement, is limited to one hundred United States Dollars (USD $100). Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so these restrictions may not apply in those jurisdictions to the maximum extent permitted by law. |
| Indemnification |
You agree to indemnify, defend, and hold harmless Generex Consulting, Charles J. Wolfe, and our affiliates, contractors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any law or third-party right, in (d) any content or information you submit to us or through the Site. |
| Confidentiality of Inquiries |
We treat the substantive content of inquiries received through the Site as confidential as described in our Privacy Policy. We do not disclose the details of prospective client inquiries, their identities, their technical questions or their facilities to third parties. At the same time, we do not enter into confidentiality obligations from multiple parties or the same industry, and that general knowledge, methodology, and experience accumulated by Charles over thirty years of general work cannot be applicable to a specific client engagement. |
| Export Controls and Sanctions |
The Generex generator sector is subject to export controls laws, sanctions regimes, and similar regulations in many jurisdictions. By contacting us or engaging our services, you represent that you and facility, your country, and your project are not subject to applicable sanctions, embargoes, or prohibition of United States or Canadian authorities. Generex reserves the right to decline any inquiry or engagement that could in our reasonable judgment create sanctions or legal exposure. |
| Modifications to the Site and Terms |
We may modify, suspend, or discontinue any part of the Site at any time, with or without notice. We may also update these Terms from time to time to reflect operational, legal, or technological changes. Changes take effect when posted. Material changes will be highlighted on the Site where appropriate. Your continued use of the Site after the change are posted constitutes acceptance of the revised Terms. |
| Termination |
We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have violated these Terms or any applicable law. Termination does not limit any of our other rights or remedies. Certain sections of these Terms shall by their nature survive termination — including intellectual property, disclaimer of warranties, limitation of liability, indemnification, Governing Law, and this section — and will remain in full force. |
| Governing Law and Dispute Resolution |
These Terms are governed by the State of Oregon governing jurisdiction or by the State of Ontario, United States of America, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or your use of the Site will first be submitted to non-binding mediation. If mediation fails, disputes will be resolved by binding arbitration proceedings in the Federal Arbitration Act for the prevailing jurisdiction of these parties. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The Gordian governs this choice of law. The Site is for Dispute arising under an engagement agreement not governed by the dispute resolution procedure in that agreement. |
| Severability and Entire Agreement |
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Generex concerning your use of the Site, and supersede any prior or contemporaneous agreements or understandings relating to that subject. |
| No Waiver and No Assignment |
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision in future situations. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely transfer these Terms. |
